BNP TO SELL EGYPTIAN UNIT TO DUBAI BANK IN $500 MILLION DEAL

BNP Paribas SA (BNP), France’s biggest bank, agreed to sell its Egyptian unit to Dubai-based Emirates NBD PJSC (EMIRATES) in a $500 million deal, the second French lender to dispose of assets in the North African nation this month. Emirates NBD will buy Paris-based BNP Paribas’ 95.2 percent stake in BNP Paribas Egypt SAE and offer to acquire the remaining 4.8 percent stake from minority shareholders at the same price, the Dubai bank said in a statement to the bourse today. The deal values the Egyptian unit at $500 million, or 1.6 times its book value at the end of September, it said. BNP Paribas SA and HSBC Holdings Plc bank branches at a shopping mall in Cairo, Egypt. Cairo-based BNP Paribas Egypt, which owns 69 branches in the North African nation, had a revenue of 731 million Egyptian pounds ($118.6 million) and net earnings of 222 million pounds in 2011, according to the statement. The United Arab Emirates’ largest bank by assets follows Qatar National Bank SAQ (QNBK) into Egypt after the Doha-based lender this month agreed to pay $1.97 billion for Societe Generale SA (GLE)’s 77.2 percent stake in Cairo-based National Societe Generale Bank SAE (NSGB), twice its book value at end-September. Emirates NBD is expanding abroad to beat slower loan growth at home. “Emirates NBD is getting into a higher growth market where loan growth and return on equity are stronger than in the U.A.E.,” Shabbir Malik, a Dubai-based analyst at EFG-Hermes Holding SAE (HRHO), said today by telephone. The acquisition should add about 5 percent to Emirates NBD’s earnings and about 2 percent to its loan book, he said. Cairo-based BNP Paribas Egypt, which owns a network of 69 branches in the North African nation, had revenue of 731 million Egyptian pounds ($119 million) and profit of 222 million pounds in 2011, according to the statement. Emirates NBD, 56 percent owned by the Dubai government, is aiming to boost revenue from international operations to 20 percent of the total over the next three to five years, from 5 percent now, Giel-Jan Van Der Tol, the bank’s general manager for wholesale banking, said in an interview last month. “Egypt is a key market in our region with strong growth prospects,” Emirates NBD Chief Executive Officer Rick Pudner said in the statement. The transaction “provides the bank with an ideal entry opportunity into” Egypt and Emirates NBD is committed to further build and invest in the franchise, he said. Bank credit in Egypt rose 20 percent in the 12 months through October to 1.15 trillion pounds, according to central bank data. Bank lending in the U.A.E., the second-biggest Arab economy, grew an annual 2.6 percent in September to 1.1 trillion dirhams ($300 billion), data shows. Foreign Growth Qatar National Bank also outlined growth ambitions this month to more than double the ratio of profit it derives from global operations by 2017 to offset limited retail growth potential in its domestic market of 1.8 million. The U.A.E. is home to 8.3 million people, compared with Egypt’s 83 million. The opportunity to enter Egypt comes as Standard & Poor’s lowered credit ratings of three French lenders, BNP Paribas among them, in October on concern it may be hurt by Europe’s protracted economic weakness and a potential housing slump in France as the euro-zone debt crisis enters its fourth year. The funding situation at French banks, the biggest foreign holders of debt in the euro-area’s problem economies including Greece, is stabilizing after 1 trillion euros ($1.32 trillion) in long-term loans by the European Central Bank. BNP Paribas has boosted capital with retained earnings and asset disposals. Emirates NBD’s shares fell 0.4 percent to 2.83 dirhams in Dubai yesterday, valuing the bank at $4.3 billion. The stock is down 3.7 percent this year, compared to an 18 percent advance in the benchmark DFM General Index. The shares didn’t trade today. CashThe bank, formed in 2007 with a government-ordered merger of Emirates Bank International PJSC and National Bank of Dubai PJSC, had assets of 305 billion dirhams ($83 billion) at the end of September, while its third-quarter profit more than tripled to 640 million dirhams helped by lower provisions for loan losses. It had cash and near cash items of $8.1 billion at the end of September, according to data compiled by Bloomberg. The lender is the only U.A.E. bank with retail and investment banking licenses in Saudi Arabia, the biggest Arab economy. It also has operations in London and Singapore as well as offices in Qatar, China and India.

In Egypt, Emirates NBD and BNP Paribas plan to cooperate in areas including trade finance, cash management, and corporate and investment banking, the Dubai bank said. BNP Paribas will continue to serve its clients in Egypt through the partnership. BNP Paribas was advised by BNP Paribas Corporate Finance on this transaction, while Allen & Overy LLP acted as its legal counsel, according to the statement. Emirates NBD was advised by Perella Weinberg Partners, while HC Securities and Investment also acted as its local adviser. Freshfields Bruckhaus Deringer and Matouk Bassiouny acted as legal counsel. Emirates NBD also retained Deloitte LLP to carry out accounting and tax due diligence while McKinsey & Co helped with commercial due diligence.

(Reuters) – HSBC has agreed to pay a record $1.92 billion fine to settle a multi-year probe by U.S. prosecutors, who accused Europe’s biggest bank of failing to enforce rules designed to prevent the laundering of criminal cash. HSBC Holdings Plc admitted to a breakdown of controls and apologized in a statement on Tuesday announcing it had reached a deferred-prosecution agreement with the U.S. Department of Justice, as first reported by Reuters last week. “We accept responsibility for our past mistakes. We have said we are profoundly sorry for them, and we do so again. The HSBC of today is a fundamentally different organization from the one that made those mistakes,” said Chief Executive Stuart Gulliver. “Over the last two years, under new senior leadership, we have been taking concrete steps to put right what went wrong and to participate actively with government authorities in bringing to light and addressing these matters.” The deferred prosecution agreement, when detailed by U.S. Justice Department officials later on Tuesday, could yield new information about a failure at HSBC to police transactions linked to Mexico, sources familiar with the matter said. Details of those dealings were reported this summer in a sweeping U.S. Senate probe. The Senate panel alleged that HSBC failed to maintain controls designed to prevent money laundering by drug cartels, terrorists and tax cheats, when acting as a financier to clients routing funds from places including Mexico, Iran and Syria. The bank was unable to properly monitor $15 billion in bulk cash transactions between mid-2006 and mid-2009, and had inadequate staffing and high turnover in its compliance units, July’s report said. HSBC on Tuesday said it expected to also reach a settlement with British watchdog the Financial Services Authority. The FSA declined to comment. U.S. and European banks have now agreed to settlements with U.S. regulators totaling some $5 billion in recent years on charges they violated U.S. sanctions and failed to police potentially illicit transactions. No bank or bank executives, however, have been indicted, as prosecutors have instead used deferred prosecutions – under which criminal charges against a firm are set aside if it agrees to conditions such as paying fines and changing behavior. HSBC’s settlement also includes agreements or consent orders with the Manhattan district attorney, the Federal Reserve and three U.S. Treasury Department units: the Office of Foreign Assets Control, the Comptroller of the Currency and the Financial Crimes Enforcement Network. HSBC said it would pay $1.921 billion, continue to cooperate fully with regulatory and law enforcement authorities and take further action to strengthen its compliance policies and procedures. U.S. prosecutors have agreed to defer or forego prosecution. The settlement is the third time in a decade that HSBC has been penalized for lax controls and ordered by U.S. authorities to better monitor suspicious transactions. Directives by regulators to improve oversight came in 2003 and again in 2010. Last month, HSBC told investors it had set aside $1.5 billion to cover fines or penalties stemming from the inquiry and warned costs could be significantly higher. Analyst Jim Antos of Mizuho Securities said the settlement costs were “trivial” in terms of the company’s book value. “But in terms of real cash terms, that’s a huge fine to pay,” said Antos, who rates HSBC a “buy”.HSBC shares dipped 0.3 percent in early London trading to 639 pence, in line with a slightly weaker European bank index. Its Hong Kong stock nudged up 0.3 percent to HK$79.70. “It has been damaging for the brand, albeit not as bad as it might have been,” said Ian Gordon, analyst at Investec Securities in London. “Is it absorbable? Yes. Is it significant? Yes. But in the absence of a broader attack on the business structure or individuals, that explains why the market reaction has been relatively muted today and has been since the allegations came out,” he added.
ANTI-MONEY LAUNDERING CONTROLS
HSBC said it had increased spending on anti-money laundering systems by around nine times between 2009 and 2011, exited business relationships and clawed back bonuses for senior executives. It cited the hiring last January of Stuart Levey, a former top U.S. Treasury Department official, as chief legal officer, as evidence of its determination to change. Under a five-year agreement with the Justice Department, HSBC agreed to have an independent monitor evaluate its progress in improving its compliance. It also said that as part of the overhaul of its controls it has launched a global review of its “Know Your Customer” files, which will cost an estimated $700 million over five years. The files are designed to ensure that banks do not unwittingly act as conduits for criminal funds. HSBC’s settlement comes a day after rival British bank Standard Chartered Plc agreed to a $327 million settlement with U.S. law enforcement agencies for sanctions violations, a pact that follows a $340 million settlement the bank reached with the New York bank regulator in August. Such settlements have become commonplace. In what had been the largest settlement until this week, ING Bank NV in June agreed to pay $619 million to settle U.S. government allegations it violated sanctions against countries including Cuba and Iran. Other banks that have reached settlements over sanctions violations are Switzerland’s Credit Suisse Group, Britain’s Lloyds Banking Group and Barclays and ABN Amro Holding NV, a Dutch bank acquired by Royal Bank of Scotland Group Plc and a bank consortium in 2007. In the United States, J.P. Morgan Chase, Wachovia Corp. and Citigroup Inc. have been cited for anti-money laundering lapses or sanctions violations. HSBC’s failings date to 2003, when the Federal Reserve Bank of New York and New York state regulators ordered it to better monitor suspicious money flows. In 2010, a consent order from the Comptroller of the Currency (OCC) ordered HSBC to review suspicious transactions. At the time, the OCC called HSBC’s compliance program “ineffective”.In 2008, the U.S. Attorney in Wheeling, West Virginia, began investigating allegations that a local doctor used the bank to launder money from Medicare fraud. Ultimately, that prosecutor’s office came to believe the case was “the tip of the iceberg” in terms of suspicious transactions conducted through HSBC, according to documents reviewed by Reuters and reported earlier this year.

ARAB-LATIN AMERICAN FORUM FROM DEC 15.. SILVIA RADAN / 9 DECEMBER 2012 For the first time, the Arab-Latin American Forum will be hosted in an Arab city, Abu Dhabi, from December 15 to 18.
With $100 billion trade exchange between the two regions, economic relations will be at the heart of the discussions. “The UAE alone is investing about five or six billion in Latin America,” said Hasan Abdul Rahman, the forum’s executive manager. “Last year, Shaikh Abdullah bin Zayed Al Nahyan, Foreign Minister, spent over a month in Latin America on an official visit, having a delegation of at least 100 members,” he added, stressing the interest of the UAE in central and south American countries. According to him, the interest of Arab countries in Latin America is not just trade, but also food security, environment, education and culture. Established just four years ago, the forum brings together high-level representatives of both regions’ states, meeting annually to hopefully sign various deals.
